Milan, 28 November 2025 – Giorgio Armani Spa is pleased to announce that today, with the successful completion of the succession procedures for Mr. Armani, which were carried out smoothly and serenely as scheduled, the shareholders’ meeting was able to convene and appoint the new Board of Directors (BoD). The BoD has now been officially established, in accordance with the founder’s wishes.
The new BoD comprises eight members, selected by the foundation and the heirs: three representatives from the Armani family, four directors, experts in the fashion and finance sectors, without operational roles and the CEO and managing director, the only employee on the board, who is responsible for the company’s operational management.
Alongside the formation of the new BoD and the introduction of the new directors, the appointments of Pantaleo Dell’Orco as chairman and Giuseppe Marsocci as CEO and managing director have been confirmed.
The new BoD of Giorgio Armani Spa is fully operational and functional and composed of:

The BoD will operate in accordance with the Founding Principles defined by Mr. Armani, which are safeguarded by the Giorgio Armani Foundation, that, it is established will be always holding a stake of no less than 30% in the company’s capital, regardless of potential future developments such as the entry of new shareholders or a public listing.
The members of the Armani Foundation are Pantaleo Dell’Orco (chairman), Andrea Camerana (director), Irving Belotti (director), Elena Terrenghi (director), Andrea Silvestri (director).
